CiteIt! Student Representative Agreement

On the next page, you will be provided the opportunity to sign up as a Student Marketing Representative.  The agreement below will govern your relationship with Sidebar Software. Please read it carefully before proceeding.

SIDEBAR SOFTWARE STUDENT MARKETING REPRESENTATIVE AGREEMENT

This text represents the Sidebar Student Marketing Representative Agreement ("Agreement") between the Student Marketing Representative ("Student Marketing Rep" or "You") and Sidebar Software ("We"). As a Sidebar Software Student Marketing Representative, you are entitled to certain benefits in exchange for the performance of certain responsibilities.

A. STUDENT MARKETING REP RESPONSIBILITIES:

1. Duties
As a Student Marketing Rep, you may be asked to perform promotional activities that should encompass approximately 2-6 hours per semester. These promotional activities may include distributing flyers into law student mailboxes, sending out promotional e-mails to friends or classmates, posting promotional posters on appropriate bulletin boards, hosting a promotional table for a few hours, etc. If your law school does not offer access to student mailboxes or otherwise limits your ability to perform certain marketing activities, we will work with you to find alternate marketing strategies that will effectively promote CiteIt!.

Obviously, since Student Marketing Reps earn commissions on purchases where their unique coupon code is used, you are encouraged to perform additional activities that you feel would be effective in promoting CiteIt!.

2. Definitions
For the purposes of this Agreement, a semester is defined as the term from January 1 through May 15 (Spring Semester) and August 31 through December 15 (Fall Semester). We would expect promotional activities to be completed within ten days of your receipt of materials, unless otherwise agreed.

3. Length of Term & Renewal
Your term as a Student Marketing Rep will begin as of the date you receive an acceptance email from Sidebar Software and end on the last day of the Semester in which you were accepted (i.e. either May 15 or December 15). At that point, renewal of your position for any subsequent semesters will be subject to acceptance by both you and Sidebar Software.

4. Forfeiture & Transferability
Sidebar Software retains the right to terminate a Student Marketing Rep for any reason and at any time. Terminated and non-renewed Student Marketing Reps will continue to receive commissions on sales that use their unique coupon code for 30 days after the date of termination or non-renewal. The position, duties and benefits of a Sidebar Software Student Marketing Rep are not transferable or assignable without the written consent of Sidebar Software.

B. SIDEBAR SOFTWARE’S RESPONSIBILITIES

1. General Responsibilities
Sidebar Software will provide you with promotional materials at our discretion. Sidebar Software will provide a website which will provide you with an accounting of CiteIt! purchase transactions where your coupon code was used by the purchaser. This will allow you to see the amount of commissions that you have earned as a Student Marketing Rep.

2. Student Marketing Rep Compensation
As soon as a total of three purchasers have used your coupon code to purchase CiteIt!, Sidebar Software will pay you a commission for each purchase based on the following schedule:

• $5 for each Student Edition sold

• $10 for each Advanced Edition sold

• $15 for each Profession Edition sold

In addition to the commissions provided above, when a total of three purchasers have used your coupon code to purchase CiteIt!, Sidebar Software will provide you with a free copy of CiteIt! Student Edition. As soon as a total of seven purchasers have used your coupon code to purchase CiteIt!, Sidebar Software will provide you with a free copy of CiteIt! Professional Edition.

3. Payment Schedule
Sidebar Software will send you a commission check after a total of three users have used your coupon code to purchase CiteIt!. After that, Sidebar Software will send you a check for the balance of your newly earned commissions on the last business day of all odd-numbered months (January, March, May, etc.), unless you have earned more than $50 in a given calendar month, at which point Sidebar will send you a check for the balance of your earned commissions on the last day of the current month. All checks will be mailed to the address supplied by the Student Marketing Rep. It is the Student Marketing Rep’s job to notify Sidebar Software of any change to their mailing address.

C. MISCELLANEOUS

Governing Law. This Agreement will be governed by the laws of the State of Massachusetts.

Arbitration. In the event a dispute shall arise between the parties to this Agreement, it is hereby agreed that the dispute shall be referred to the American Arbitration Association for arbitration in accordance with the applicable United States Arbitration and Mediation Rules of Arbitration. The arbitrator's decision shall be final and legally binding and judgment may be entered thereon.

Each party shall be responsible for its share of the arbitration fees in accordance with the applicable Rules of Arbitration. In the event a party fails to proceed with arbitration, unsuccessfully challenges the arbitrator's award, or fails to comply with the arbitrator's award, the other party is entitled to costs of suit, including a reasonable attorney's fee for having to compel arbitration or defend or enforce the award.

Severability. If any portion of this Agreement is held to be unenforceable, that portion shall be severed from this Agreement, the remainder of which shall continue in effect.
